Our Services may be changed, but any changes will be posted and changes will only apply to activities and information on a going forward, not retroactive basis. Using Our Services
You may use our Services only to the extent permitted by law including applicable export and re-export laws and regulations. We reserve the right to suspend or terminate Services to you if you do not comply with our Terms and Conditions. This includes any misuse of our Services that encompasses, but is not limited to, interfering with our Services, accessing our Services using a method other than our standard interfaces, uploading child pornography or any other inappropriate content, inappropriate access to or manipulation of data on our systems, or reselling content from our Services in violation of our Terms and Conditions.
Using our services does not give you ownership of any intellectual property rights in our Services or the content you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Services.
Our Services display some content that is not CytoSavvy's. This content is the sole responsibility of the entity or individuals that make it available. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our Terms and Conditions or the law.
Privacy and Data Security
Your privacy is important to CytoSavvy and we work very hard to protect your information. We encrypt many of our services using Secure Socket Layer (SSL). We review our information collection, storage, and processing practices including physical security measures on a regular basis to guard against unauthorized access to our systems. Finally, we restrict access to personal information to CytoSavvy employees, contractors, and agents who need to know this information in order to deliver our Services. All of our employees, agents and contractors are subject to strict contractual confidentiality and may be disciplined or terminated if they fail to meet these obligations.
Your Personal Information
We collect information to provide better services to all of our users. This information falls into two broad categories: 1) information that you provide to us and 2) information that we collect from your use of our services. Information you provide to us could include personal information like your name, email address, telephone number and credit card information. We also collect information about your use of our services. We may collect device-specific information (such as your hardware model, operating system version, unique device identifiers, and mobile network information including phone number.) We use the information we collect from our Services to provide, maintain, protect and improve them, to develop new services, and to protect CytoSavvy and our users. When you contact CytoSavvy, we may keep a record of your communication to help solve any issues you might be facing. We may use your email address to inform you about our Services, such as letting you know about upcoming changes, scheduled maintenance, or improvements. We use information collected from cookies and other technologies (like image analysis), to improve your user experience and the overall quality of our Services. We will ask for your consent before using information for a purpose other than those that are set out in this Terms and Conditions.
Information We Share
We do not share personal information with companies, organizations, or individuals outside of CytoSavvy unless one of the following circumstances applies. 1) We will share personal information with companies, organizations or individuals outside of CytoSavvy when we have your consent to do so. We require opt-in consent for the sharing of any sensitive personal information like your name, email, or address. 2) We provide personal information to our affiliates or other trusted businesses or persons to process it for us, based upon our instructions and in compliance with our Terms and Conditions, as well as any other confidentiality and security measures. 3) We will share information with companies outside of CytoSavvy if we believe in good faith that access, use, preservation or disclosure of the information is reasonable necessary to:
- Meet any applicable law, regulation, legal process or enforceable governmental request
- Enforce our Terms and Conditions including investigation of potential violations
- Detect, prevent, or otherwise address fraud, security, or technical issues
- Protect against harm to the rights, property, or safety of CytoSavvy, our users or the public as required or permitted by law
Your Content, Copyright Protection
Our Services allow you to submit content. You retain ownership of any intellectual property rights that you hold in that content. What belongs to you stays yours. We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act. If you think someone is violating your copyrights, please notify us at firstname.lastname@example.org. When you upload or otherwise submit content to our Services, you give CytoSavvy (and those who work with us) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from image analysis, changing file formats, or other changes we make so that your content works better with our services), communicate, publish, publically perform, publicly display and distribute such content. The rights you grant in this license are for the limited purpose of operating, promoting, and improving our Services and to develop new Services. This license continues even if you stop using our Services. Please make sure you have the necessary rights to grant us this license for any content that you submit to CytoSavvy.
Individuals Using Our Services
If you are using our Services as an individual, you have the right to use our output on an unrestricted basis for your personal use. If you use our output to produce a product or service for resale, please contact email@example.com to discuss re-sale licensing.
Businesses Using Our Services
If you are using our services on behalf of a business or non-profit institution (hereafter, business), that business accepts our Terms and Conditions. The business will hold harmless and indemnify CytoSavvy and its affiliates, officers, agents and employees from any claim, suit or action arising from or related to the use of the Service or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorney fees. If your business uses our output to produce a product or service for resale, please contact firstname.lastname@example.org to discuss re-sale licensing.
Modifying and Terminating Our Services
We are constantly changing and improving our Services. We may add or remove functionality or features, and we may suspend or stop a Service altogether.
You can stop using our Services at any time. CytoSavvy may also stop providing Services to you, or add or create new limits to our Services at any time.
We believe that you own your data and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to obtain information out of that Service.
Our Warranties and Disclaimers
We provide our Services using a commercially reasonable level of skill and care and we hope that you enjoy using our Services. That said, there are certain things that we do not promise about our Services.
OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS AND CONDITIONS, NEITHER CYTOSAVVY OR ITS SUPPLIERS OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DO NOT MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTION OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.
Liability for Our Services
WHEN PERMITTED BY LAW, CYTOSAVVY AND CYTOSAVVY'S SUPPLIERS AND DISTRIBUTORS WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, LOST DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CYTOSAVVY AND ITS SUPPLIERS AND DISTRIBUTORS WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.
Protected Health Information
CytoSavvy provides image analysis services. We maintain records of your analyzed images on our servers as a convenience to you with file names supplied by you. We maintain no “protected health information” about individual patients and ask that you exclude protected health information from the file names that your supply to our Services. Protected health information is information about an individual patient, including demographic information, that may identify an individual patient and that relates to that patient’s past, present or future physical or mental health or condition and related health care services. Any protected health information incorporated in your file names, either by design or inadvertently, is your responsibility including any HIPAA reporting requirements.
About these Terms
We reserve the right to make changes to these Terms and Conditions. Any changes to these Terms and Conditions will be posted on this page. Changes will not be applied retroactively, however, changes addressing new functions for our Services or changes made for legal reasons will be effective immediately. If you do not agree with the modified terms for our Services, you should discontinue your use of our Services.
If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.
These terms control the relationship between CytoSavvy and you. They do not create any third party beneficial rights.
If you do not comply with these terms and we do not take action right away, this does not mean that we are giving up any rights that we may have (such as taking action in the future).
If it turns out that a particular term is not enforceable, this will not affect any other terms.
The laws of Pennsylvania, U.S.A. will apply to any disputes arising out of or relating to these Terms and Conditions. All claims arising out of or relating to these Terms and Conditions will be litigated exclusively in the Federal or state courts of Chester County, Pennsylvania, U.S.A., and you and CytoSavvy consent to personal jurisdiction in those courts.
